JP Morgan to Acquire Frosch Luxury Travel Agency

This deal would break the mold of so many technology plays we've seen to date, giving JP Morgan an edge in supporting bookings with experienced consultants.

JP Morgan Chase has signed a definitive agreement to buy corporate and luxury travel agency Frosch .

The deal represents a new “business line” for the bank, according to Bryan Leibman, the agency’s president and CEO.

“It should give all of us immense pride to be recognized for our industry leading achievements and excellence and to become a foundation for JP Morgan Chase as they enter a new business line,” he said this week in an internal staff memo seen by Skift.

However, like Capital One, JP Morgan has already made significant inroads into the travel sector over recent years, snapping up cxLoyalty Group Holdings’ global loyalty division in December 2020. The deal included cxLoyalty’s full service travel agency, as well as technology platforms, gift card, merchandise and points bank businesses.

Taking over family-owned Frosch and its experienced travel consultants gives it more opportunities to better manage its travel bookings, with a human touch rather than artificial intelligence called for in the premium corporate and luxury sectors. The agency, which is co-headquartered in New York City and Houston, has offices in more than 40 locations worldwide. It was founded in 1972 and has more than 2,000 employees.

Banks and credit card company Capital One helped online travel agency Hopper raise $170 million in new funding last year . Other notable Capital One deals include buying startup Freebird in 2020 , and last year it acquired most of the employees and technology of Lola , a corporate travel booking and expense app.

U.S. Bancorp bought Will Smith-Backed travel platform TravelBank for $200 million in November last year .

For now, Frosch and other brands including Plaza Travel, LUXE Travel, Mann Travels and Valerie Wilson Travel, which it acquired in May last year , will remain intact, and continue “under the JP Morgan Chase umbrella,” according to Leibman. Frosch also received a minority investment from private equity firm EagleTree Capital in February last year.

JPMorgan Chase & Co. reportedly signed an agreement to purchase FROSCH International Travel Inc., a corporate and luxury travel agency, travel industry news site Skift reported Feb. 17, citing a FROSCH internal staff memo seen by the outlet.

The financial terms of the deal were not disclosed in the Skift report.

The deal represents a new "business line" for the bank, Bryan Leibman, the travel agency's president and CEO, said in the memo, according to the news outlet.

JPMorgan has previously moved into the travel sector, including acquiring cxLoyalty Group Holdings Inc.'s global loyalty division in December 2020.

The travel agency, which is co-headquartered in New York City and Houston, has offices in more than 40 locations worldwide, Skift noted.

Frosch and its brands including Plaza Travel, LUXE Travel, Mann Travels and Valerie Wilson Travel, Inc. will fall "under the JPMorgan Chase umbrella" and stay intact for now, the report said, citing Leibman.

FROSCH Adds Growth Capital with Investment from EagleTree Capital

NEW YORK (February 1, 2021) – Frosch International Travel (“FROSCH”), a leading travel management company, today announced that EagleTree Capital (“EagleTree”) has made a substantial growth investment in the firm. The Leibman Family will continue to control FROSCH with Bryan Leibman as its President & CEO and EagleTree will hold a minority position.

Terms of the transaction were not disclosed.

1. Purpose.

This ESG Policy (the “Policy”), dated December 2023, reflects our current approach to considering and addressing Environmental, Social and Governance (“ESG”) factors, which has been further developed and refined since we became a PRI signatory in 2019 and adopted our initial ESG Policy in 2017. This Policy retains the same fundamental principles and our commitment to integrate ESG considerations into our investment management business and portfolio company ownership practices. In developing this Policy, we have considered a range of guidance, including the Principles for Responsible Investment, the American Investment Counsel Guidelines for Responsible Investment and the Sustainable Development Goals.

2. Commitment.

EagleTree has always strived to maintain a strong culture of good governance to ensure that it operates in a socially responsible manner. In furtherance of this ethos and in accordance with our responsibilities to our clients and other stakeholders, EagleTree is committed to identifying and considering ESG issues, risks and opportunities associated with potential portfolio company investments and engaging with portfolio companies on these matters as necessary during our ownership.

In addition, we remain committed to compliance with national, state and local labor laws in jurisdictions in which we invest and to provide a safe and healthy workplace consistent with national and local laws. EagleTree continues to maintain policies and procedures that prohibit bribery and other illegal payments to public officials consistent with U.S. federal and state laws. We have implemented a robust cyber-security framework in order to protect our systems, networks, programs, devices and Firm and investor data from cyber-attacks.

This Policy is intended to provide a broad framework for EagleTree’s overall approach to ESG. EagleTree recognizes that its approach to different ESG factors may vary among portfolio companies of different sizes, that fall within different industry sectors and that operate in different geographies. Therefore, EagleTree may incorporate and alter different elements of this Policy for different portfolio companies across the stages of the investment management process, including during pre-acquisition, throughout ownership, and when positioning a portfolio company for an exit.

4. Roles and Responsibilities.

EagleTree’s ESG initiatives are overseen by its ESG Committee, which includes EagleTree’s two Co-Managing Partners and other members of senior management. The ESG Committee meets at least quarterly. An ESG Sub-Committee has also been formed to function as an ESG working group that carries out the day-to-day aspects of EagleTree’s ESG efforts and initiatives and is available as a resource for investment team members. The ESG Sub-Committee generally meets on a weekly basis and its responsibilities include: (i) engaging with EagleTree’s deal teams on pre-acquisition ESG due diligence matters; (ii) engaging with EagleTree’s third-party ESG specialists to conduct annual portfolio company-level ESG reviews; (iii) responding to investor and other stakeholder ESG requests; (iv) conducting annual employee training; and (v) reviewing and updating this Policy and EagleTree’s ESG program, as necessary, from time to time. The ESG Committee also aims to ensure that all EagleTree employees are aware of EagleTree’s culture of social responsibility and any amendments to this Policy.

As applicable, EagleTree’s Investment Committees in partnership with the ESG Sub-Committee oversees and considers ESG issues, if any, that are material to a potential portfolio company investment. With assistance from the ESG Sub-Committee and outside ESG specialists, as appropriate, EagleTree’s deal teams manage and monitor material ESG issues that have been identified during portfolio company ownership.

5. ESG Investment Process Integration

  • Pre-Acquisition Process: During pre-acquisition, EagleTree will aim to:
  • Incorporate detailed ESG considerations into our pre-investment decision-making process in order to better assess ESG risks and opportunities and to provide us with an initial overview of a potential portfolio company’s ESG profile.
  • Tailor specific ESG inquiries and approaches based on various investment factors including the core industry sector of a particular investment.
  • Engage with outside advisors, as necessary, to analyze and address ESG issues, risks and opportunities that arise.
  • Consider whether a potential portfolio company’s business aligns with EagleTree’s core values.
  • Identify any business line that would cause us to refuse to invest, including: (i) the manufacture or sale of handguns, assault weapons and/or ammunition; (ii) the distribution or sale of pornography; (iii) the direct and primary production or packaging of tobacco or alcoholic beverages; (iii) the production, sale, trade or distribution of illegal drugs; or (iv) a business that would pose a high reputational risk to EagleTree, its clients and/or other stakeholders. This list is not exhaustive and is qualified by our legal documentation and any applicable side letters governing our investments.
  • Ownership Process: During ownership, EagleTree will aim to:
  • Work with portfolio companies to advance EagleTree’s ESG principles with the goal of improving long-term performance and minimizing adverse impacts in these areas.
  • Track ESG-related metrics across our portfolio companies and engage and collaborate with portfolio companies to consider recommendations from these findings.
  • Work with portfolio companies to integrate sustainability considerations into their business plans, as applicable.
  • Work with portfolio companies to address ever-changing cyber-security considerations.
  • Respect the human rights of those affected by our investment activities and seek to confirm that our portfolio company investments do not support companies that utilize child or forced labor or maintain discriminatory policies.
  • Exit Process: In positioning a portfolio company for an exit, EagleTree will aim to do the following, as applicable:
  • Highlight the portfolio company’s progress on ESG matters.
  • Summarize the positive impact that our integration of ESG initiatives had on the portfolio company’s business and/or culture.

6. Diversity and Inclusion.

EagleTree continues to promote diverse perspectives. In this regard, EagleTree has adopted a Diversity & Inclusion Statement and, in 2021, became a signatory to ILPA’s Diversity in Action Initiative. EagleTree seeks to improve diversity and inclusion within the Firm, across its portfolio company investments and in the private equity industry, where possible.

7. Social Impact

EagleTree has a history of charitable giving and an active Philanthropic Committee that strives to support a number of charities from both a financial and volunteer perspective and carries out the Firm’s initiatives in this regard. Our Philanthropic Committee, identifies several nonprofit charities each year with whom employees volunteer and EagleTree supports. EagleTree continues to encourage all of its employees to actively engage in nonprofit volunteer activities and giving in our communities.

8. Transparency.

EagleTree aims to provide timely information to its clients and other stakeholders on the matters addressed herein and to work with them to foster transparency with regard to its ESG initiative. EagleTree intends to engage with clients and stakeholders, from time to time, in dialogue regarding how we can manage ESG issues in a way that is consistent with their initiatives.

The trains and stations of the Moscow Metro

The Moscow Metro is the third most intensive subway system in the world after Tokyo and Seoul subways. The first line was opened on May 15, 1935. Since 1955, the metro has the name of V.I. Lenin.

The system consists of 12 lines with a total length of 305.7 km. Forty four stations are recognized cultural heritage. The largest passenger traffic is in rush hours from 8:00 to 9:00 and from 18:00 to 19:00.

Cellular communication is available on most of the stations of the Moscow Metro. In March 2012, a free Wi-Fi appeared in the Circle Line train. The Moscow Metro is open to passengers from 5:20 to 01:00. The average interval between trains is 2.5 minutes.

The fare is paid by using contactless tickets and contactless smart cards, the passes to the stations are controlled by automatic turnstiles. Ticket offices and ticket vending machines can be found in station vestibules.

Touring the Top 10 Moscow Metro Stations

Komsomolskaya metro station looks like a museum. It has vaulted ceilings and baroque decor.

Hidden underground, in the heart of Moscow, are historical and architectural treasures of Russia. These are Soviet-era creations – the metro stations of Moscow.

Our guide Maria introduced these elaborate metro stations as “the palaces for the people.” Built between 1937 and 1955, each station holds its own history and stories. Stalin had the idea of building beautiful underground spaces that the masses could enjoy. They would look like museums, art centers, concert halls, palaces and churches. Each would have a different theme. None would be alike.

The two-hour private tour was with a former Intourist tour guide named Maria. Maria lived in Moscow all her life and through the communist era of 60s to 90s. She has been a tour guide for more than 30 years. Being in her 60s, she moved rather quickly for her age. We traveled and crammed with Maria and other Muscovites on the metro to visit 10 different metro stations.

To Maria, every street, metro and building told a story. I couldn’t keep up with her stories. I don’t remember most of what she said because I was just thrilled being in Moscow.   Added to that, she spilled out so many Russian words and names, which to one who can’t read Cyrillic, sounded so foreign and could be easily forgotten.

The metro tour was the first part of our all day tour of Moscow with Maria. Here are the stations we visited:

1. Komsomolskaya Metro Station  is the most beautiful of them all. Painted yellow and decorated with chandeliers, gold leaves and semi precious stones, the station looks like a stately museum. And possibly decorated like a palace. I saw Komsomolskaya first, before the rest of the stations upon arrival in Moscow by train from St. Petersburg.

2. Revolution Square Metro Station (Ploshchad Revolyutsii) has marble arches and 72 bronze sculptures designed by Alexey Dushkin. The marble arches are flanked by the bronze sculptures. If you look closely you will see passersby touching the bronze dog's nose. Legend has it that good luck comes to those who touch the dog's nose.

3. Arbatskaya Metro Station served as a shelter during the Soviet-era. It is one of the largest and the deepest metro stations in Moscow.

4. Biblioteka Imeni Lenina Metro Station was built in 1935 and named after the Russian State Library. It is located near the library and has a big mosaic portrait of Lenin and yellow ceramic tiles on the track walls.

5. Kievskaya Metro Station was one of the first to be completed in Moscow. Named after the capital city of Ukraine by Kiev-born, Nikita Khruschev, Stalin's successor.

6. Novoslobodskaya Metro Station  was built in 1952. It has 32 stained glass murals with brass borders.

7. Kurskaya Metro Station was one of the first few to be built in Moscow in 1938. It has ceiling panels and artwork showing Soviet leadership, Soviet lifestyle and political power. It has a dome with patriotic slogans decorated with red stars representing the Soviet's World War II Hall of Fame. Kurskaya Metro Station is a must-visit station in Moscow.

8. Mayakovskaya Metro Station built in 1938. It was named after Russian poet Vladmir Mayakovsky. This is one of the most beautiful metro stations in the world with 34 mosaics painted by Alexander Deyneka.

9. Belorusskaya Metro Station is named after the people of Belarus. In the picture below, there are statues of 3 members of the Partisan Resistance in Belarus during World War II. The statues were sculpted by Sergei Orlov, S. Rabinovich and I. Slonim.

ST. LOUIS - SUV driver Darlene Wilson unexpectedly found herself behind the steering wheel of a Tesla electric car after someone crashed into her family's Chevrolet Traverse.

Driving hundreds of miles a week, with two kids to haul around while also managing an Airbnb, Wilson appreciated the Traverse's space. But filling up every other day had gotten old ‒ and expensive.

And now, after a few weeks of driving the insurance-paid rental Tesla, Wilson, 41, is a convert to electric vehicles, or at least this specific one .

"We love it. And I didn’t think we were going to," said Wilson as her two kids watched videos and played games on the car's large display screen, the Tesla charging behind a Target store.

While many Tesla owners have installed chargers at their homes, Wilson has to use company-branded chargers that take about 30 minutes to refill the car's batteries. Still, she said, even having to sit parked a few times a week is far cheaper than filling her SUV's 20-gallon tank, and she's now considering buying an EV herself.

“I would drive it because it’s more economical," she said. "For what we spent on gas compared to what it costs to charge, it’s not even close."

For Wilson, driving an electric car isn't a political decision, just straight-up economics. But increasingly for Americans, President Joe Biden and rival Donald Trump are putting EV drivers and their haters squarely in the political spotlight.

EVs could reshape American travel, economy

And as they move closer to mainstream, EVs have become the latest culture war flashpoint between Republicans and Democrats, with Biden pushing heavily for their adoption and Trump promising a “bloodbath” of regulatory restrictions to block imports and protect American auto workers, many of whom are based in the swing state of Michigan. Because EVs have fewer parts, they require less work to build and maintain.

The battle over EV adoption has high stakes, with experts warning the U.S. needs to move rapidly away from gas-burning vehicles in order to meet goals set by the Paris Climate Accords and help blunt the impacts of an already-changing climate.

Today, there are about 4.5 million plug-in hybrids and EVs on American roads, representing about 10% of all vehicles. About 1/3 of all EVs are in California.

Although electric vehicles have been adopted more rapidly around the world ‒ including in Norway, China and the European Union ‒ Americans have been slow to shift their purchases. Last year, the top three vehicle models sold in the U.S. were pickups, followed by the Toyota RAV4. But the fifth-best selling vehicle, according to estimates by Motor1, was the battery-powered Tesla Model Y SUV.

The Biden administration on Wednesday issued new rules aimed at shifting drivers away from buying gasoline cars and SUVs.

The new rules, based around tailpipe emission standards, are intended to ensure that within eight years, the majority of consumer vehicles sold are either all-electric or gas-electric hybrids. The rules don't require manufacturers to make EVs, but the emission standards are so tough that automakers will have a hard time complying unless they do. Last year, about 16% of new vehicles sold were EVs or hybrids, according to federal officials.

While Biden and other EV fans say electric cars are widely beneficial for both drivers and the climate, critics complain that EVs are more expensive, slow to recharge, have smaller ranges, especially in cold weather, and that the charging infrastructure is spotty.

To help lower costs, the Biden administration offers tax breaks to buy American-made EVs, and is spending more than $7.5 billion to build rapid-charging stations across the country, especially along heavily traveled interstate corridors.

In a statement distributed by the Biden administration , an industry group that represents most of the major auto manufacturers ‒ including Ford, GM, Honda and Stellantis, the parent company that makes Dodge, Chrysler and Jeep vehicles ‒ said the push toward EVs is both necessary and challenging. The group thanked Biden for delaying the start of the emission standards for several years, allowing charging infrastructure and supply chains to develop.

"The future is electric," said John Bozzella, the president and CEO of the Alliance for Automotive Innovation. "Consumers have tons of choices. But pace matters."

While some EV critics say they just don't want to be forced into driving a battery-powered car, others have a far more visceral reaction. Across the country, there's been news reports of gas-vehicle drivers deliberately blocking off EV charging stations in what's known as "ICEing," a reference to their internal combustion engine.

EVs help fight climate change, reduce greenhouse gas

The transportation sector is the single-largest producer of climate-changing carbon dioxide emissions, largely because the vast majority of vehicles are powered either directly or indirectly by burning coal, natural gas or gasoline. Wind, solar and hydro make up about 20% of the nation's electricity generation, although that number is rising rapidly each year, according to federal officials.

A 2023 study published by the journal Transportation Research found that about 25% of EV purchasers ultimately replaced them with a gas-powered vehicle, while another 10% bought a plug-in hybrid because they typically have a longer range. The study noted, however, that Tesla purchasers almost invariably bought another Tesla. Experts say "range anxiety" is one of the single-biggest stumbling blocks for widespread EV adoption, which is what's driving the Biden administration push for more changing stations.

Tesla driver Topher Clark, 54, doesn't understand how trying to protect the Earth became so political. He sees his Tesla, along with the solar panels on the roof of his Portland, Oregon, home, as one part of a reasonable effort to reduce pollution and fight climate change.

“This was the realization of a lifelong dream to not be spewing exhaust," said Clark, a software engineering manager, gesturing at his Tesla SUV charging near the junction of I-64 and I-170.

Clark, 54, was driving cross-country ‒ he'd already put 2,000 miles behind him ‒ and said charging was easy and convenient. Clark said after buying the Tesla, he practiced driving it increasingly long distances from Portland to ensure the SUV's miles-left estimates were accurate. He was especially worried about losing capacity in cold weather, but said the SUV's computer made it "brain-dead easy" to travel from charger to charger.

He also said he's frustrated that caring for the Earth is somehow a partisan issue.

"There’s nothing political about keeping your house clean," he said. "I can't look my nieces and nephews in their eyes, tell them I love them and then piss on the planet. And that's effectively what's people are doing."

And Matthew Fisher, CEO of Gridspot, said he was shocked by the comments he got after advertising his company's app, which allows people with EV chargers to rent them out to drivers who are in the neighborhood. Fisher said he paid for 10,000 Facebook advertising impressions and got 10 comments back ‒ nine of which were negative.

"That was not what I expected," said Fisher. "The arguments get really bizarre."

Fisher said the Facebook advertising stats showed him that most of the people who saw his ads were older white men, who tend to be more conservative than the overall U.S. population. Still, he said, he was surprised at how vitriolic the comments got. That suggests to him that objections to EVs are inherently illogical.

"It was just this sentiment that 'you take my emissions, you take my freedom,'" he said. "It’s mind-boggling."

EVs represent a new front in the culture wars

In December 2023, Trump posted a social-media message that in part said supporters of an "all electric car lunacy" should "rot in Hell." He previously warned that foreign competitors would ruin the U.S. auto manufacturing industry, costing tens of thousands of jobs. Other EV critics point out that the vast majority of EV batteries are sourced from China, and that the batteries themselves are filled with rare-earth minerals extracted at great environmental cost.

The Trump-affiliated America First Policy Institute contends the new emissions standards issued Wednesday would cost the country about 117,000 jobs because EVs require less work to assemble, with the losses particularly acute in Michigan. But the United Auto Workers union endorsed Biden over Trump in January, after Biden visited union workers picketing automakers last year.

Those union workers were striking, in part, at Ford, GM and Stellantis plants over the fact that some new workers in EV-focused plants were being paid less than longtime union workers on the gasoline-vehicle production lines. Many EVs, especially those made by Tesla, are built by non-union workers. More than 1 million Americans work in the auto-manufacturing industry, according to the federal Bureau of Labor Statistics.

Although the new emissions standards don't specifically force auto manufacturers to start making EVs, they have that practical effect.

In a statement, companies representing truck stops and travel centers, convenience stores and gas stations said they support efforts to lower emissions caused by vehicles. But it said consumer choice, not government mandate, should drive change. The groups said it wants the Biden administration to create an environment where retailers like them can be assured of earning profits by installing charging stations.

"The fastest, most efficient way to lower carbon emissions remains through technology-neutral, market- oriented, consumer-focused policies that encourage all fueling technologies to improve their respective emissions," said the groups, which sell about 90% of the country's gasoline. "This rule does not do that. Instead, it functions as an effective mandate for a single technology that at this point has not proven itself to be more viable than other compelling solutions."

And the National Automobile Dealers Association, which declared that "dealers are all-in on EVs," said dealerships are worried the new Biden EPA rules go too far, too fast, opening the door for Chinese companies to leapfrog ahead of U.S.-based manufacturers. Many American-built EVs qualify for a $7,500 tax credit, but many Chinese EVs are significantly cheaper to begin with. One of the best-selling Chinese-made EVs sells for about $17,000, but is not available in the United States in part due to a 25% tariff on Chinese-made EVs Trump implemented and Biden has maintained.

"Consumers will dictate the pace of EV adoption, not lawmakers, regulators or (automakers)," NADA said. "Public policy should be focused on turning over the combustion fleet, getting consumers used to charging and getting cleaner vehicles on the road – including plug-in hybrids."

Many automakers have scaled back predictions for EV sales in the past several months due to slowing demand, including Ford, which in January announced it would halt one of two production lines for its F150 Lightning EV pickup, and move some of the workers to lines making gas-powered pickups.

At the charging station in St. Louis, Wilson, the accidental Tesla driver, said she didn't think the politicization of EVs was necessarily helpful to the country. She said people should just buy what works for them. And she encouraged other skeptics to try out Teslas, which start at about $40,000.

"We want to buy one now," she said, laughing. "It's smooth. And it’s fast. Really fast."
